SEBI Updates Penalty Review Process for MIIs to Boost Fairness & Transparency
Overview
The Securities and Exchange Board of India (SEBI) has revamped how Market Infrastructure Institutions (MIIs) — stock exchanges, clearing corporations, and depositories — handle review, appeal, and waiver requests for penalties.
This overhaul aims to remove conflicts of interest and strengthen trust in market regulation.
What’s Changing
If the penalty is imposed by an Internal Committee (IC) or under a pre-approved regulatory policy, the Member Committee (MC) will continue to handle review and appeal requests.
If the penalty comes directly from the Member Committee (MC), appeals must now be handled by a new mechanism established by the MII’s Governing Board, ensuring fresh and impartial decision-makers.
Who Will Handle Appeals Against MC Decisions
The new appellate mechanism must include Public Interest Directors and independent external professionals who were not involved in the original decision.
Each MII must create a Standard Operating Procedure (SOP) for uniform handling of such cases.
Legal Recourse and Implementation Timeline
Participants still retain the right to approach legal authorities under applicable laws.
The changes take effect 45 days from the circular, giving MIIs until 19 September 2025 to update systems and amend byelaws.
